Terms of Use (ToU)
Agence ICI is a private limited company (SARL) registered with the Trade and Companies Register under SIREN number 438 307 803, with its registered office located at 13 Rue Duroyer, Amiens (80000 - France).
These Terms of Use (the "ToU") govern the relationship between Agence ICI and users (the "User") who use the application "Otilus" (the "Application") for professional purposes, in accordance with its purpose described below.
The User acknowledges having read these ToU and agrees to them without reservation before registering. In the event of non-compliance with these ToU, Agence ICI reserves the right to suspend or delete the account of the offending User, without prior notice.
These ToU apply to all Users who use the Application, whether free of charge or paid.
Purpose
Agence ICI publishes the application "Otilus" which enables the management of companies' professional projects, as well as related teams and tasks.
The Application allows Users within the same team to work collaboratively. The Application enables the management of professional projects through boards and cards. To this end, the Application allows Users to manage, share, and monitor projects, teams of Users, tasks, and deadlines. It enables all Users linked to a project to have an overall view of activities, including those of other Users, and the progress of the said project.
Creating a User Account
Any person wishing to use the services of the Application must create an account. When creating an account, the User must enter personal information such as their last name, first name, email address, the company they belong to, or their job title. The User must also create a password whose sufficiently strong structure is determined by the Application for security purposes.
The services available on the Application depend on the subscription you have taken out.
Setting up User Teams
The User who creates their own account (the "Manager") may create a team of Users and thus act as the administrator of a team of Users (the "Team Members") in order to collaborate on one or more projects. The Manager may invite other people, colleagues, or collaborators, i.e. Team Members, to create their own account on the Application. In this case, the Manager guarantees Agence ICI (i) that they have all useful and necessary rights and authorizations to create the Team Members' accounts and (ii) undertakes to bring these ToU to the attention of the Team Members and to have them accepted by the latter without any exception or reservation. The Manager guarantees compliance with these ToU by the Team Members.
It is the Manager's responsibility to define the Team Members' rights within the Application.
In these ToU, the term "User" refers to Managers and Team Members without distinction.
Sharing the User's Data
The User is informed that their User data, with the exception of their password, is accessible to other Users in their team, as are all data, information, and content that the User enters into the Application.
Access to the Application and Services
The Application is accessible from any location to any user with internet access. Access to the Application and its services is available 24 hours a day, 7 days a week, except in cases of force majeure or an event beyond the control of Agence ICI, and subject to any outages and maintenance operations required for the proper functioning of the Application.
It is specified that Agence ICI uses all means at its disposal to ensure quality access to the Application and its services. As this is an obligation of means, Agence ICI does not guarantee that this result will be achieved. The User undertakes not to claim any compensation following the interruption, suspension, or modification of the content and/or quality of the services offered.
All costs borne by the User to access the service (computer equipment, software, internet connection, etc.) shall be at the User's expense.
The services are reserved for Users who are registered and logged into the Application as they require authentication for reasons including, in particular, the confidentiality of accessible information. To do so, Users must log in using their username and password.
For this purpose, the identification elements (username and password) enabling the registered User to identify themselves and log into the Application are personal and confidential. The password can be changed online by the registered User, notably in the event of loss or theft of the password.
The registered User is entirely responsible for the use of their identification elements. They undertake to keep their identification elements secret and not to disclose them in any form whatsoever.
When the User registers on the Application, they confirm that they do not already have identification elements obtained previously. Any User having multiple accounts on the Application may be permanently excluded from the Application.
In the event of loss or theft of login credentials, the registered User must change their password.

Use of the Application
The User is informed that the Application is intended strictly for professional use.
The User undertakes not to use the Application to upload, send, or transmit any illegal content, including content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another person's privacy, hateful, racist, or otherwise objectionable. In this regard, the User is reminded that all data, information, and content they publish on the Application may be made accessible to other Team Members and to the Manager of the team to which the User is attached within the Application.
Agence ICI does not carry out any monitoring of the information, data, and content published on the Application. However, if Agence ICI becomes aware of such content, a moderator may delete, following its publication, any content, information, contribution, or image that is in breach of these ToU or contrary to the law. In particular, the User undertakes not to disclose information concerning other Users without ensuring that they have the right or authorization to do so.
Notifications
The User is informed that they may receive notifications in the Application regarding the progress of the project in which they are enrolled. The User may activate or deactivate notifications at any time, or choose which notifications they wish to receive.
Deletion of Data
Data relating to a project cannot be archived or deleted by just any User. In the event of a project being archived, such data may be restored within 14 days after deletion; after this period, it will be permanently deleted. In the event of deletion, project data is immediately erased. It is the responsibility of Users to determine which project data should be deleted and to delete it accordingly. Agence ICI cannot, under any circumstances, be held responsible for retaining project data beyond the applicable retention periods.
When the User deletes their account, the data relating to their User account is deleted immediately and is not retained. However, the User is informed that their interactions in projects in which they participated will be retained as long as the project itself is not deleted from the Application.
Subscription – Payment – Termination of Subscriptions
Access to certain features and services of the Application is subject to payment of a subscription. Subscription terms are available at: https://www.otilus.com/prices, and are summarized during online subscription.
The subscription price depends on the number of Users linked to the Manager and on the set of associated features and services.
When subscribing to a paid plan, payment is made via the online payment platform of Agence ICI's payment service provider.
When subscribing, the User is offered a "Free" version with limited features. The subscription will become paid if the User wishes to access all features offered in the Application. The User will then be invited to make a payment in order to obtain the desired features.
Depending on the selected plan, the subscription is annual or monthly. For a monthly subscription, the subscription cost is paid at the beginning of each month by automatic debit from the bank card provided by the Manager. For an annual subscription, the subscription cost is paid at the start of each annual period by automatic debit from the bank card provided by the Manager.
As this is a professional service intended for companies, the Manager guarantees that they hold all necessary rights and authorizations to use the bank card used when subscribing.
The subscription is automatically renewed at each monthly due date for monthly subscriptions, or annually for annual subscriptions. The User may therefore cancel their monthly subscription before the start of each monthly period, and their annual subscription before the start of each annual period. Intellectual Property
Agence ICI and its partners hold all intellectual property rights relating to the Application, its structure, databases, trademarks, designs, and logos. The User does not have any right and/or authorization allowing them to reproduce, adapt, modify, or distribute the Application in whole or in part. The User is granted only a personal, non-transferable, non-exclusive right to use the Application in France, in accordance with these ToU. The User is prohibited from any extraction or reuse, in whole or in part, of the Application's databases.
Content and information published on the Application may be protected by intellectual property rights, as well as image and personality rights held by third parties. The User undertakes not to extract, reproduce, or distribute such content where it does not belong to them or where they do not hold any right over said content.
Personal Data
As part of the use of the Application, the User is informed that Agence ICI processes personal data concerning them.

Liability
While Agence ICI strives to make the Application as reliable as possible, it does not provide any guarantee regarding all information present on the Application, in particular as to its relevance, completeness, or accuracy, whether provided by the Application, its partners, or any third party, whether by email or any other form of communication. Likewise, Agence ICI provides no guarantee as to the use of such information.
Agence ICI cannot therefore be held liable for any loss or damage that may result from the use of information present on the Application, nor for any errors or omissions therein. Agence ICI disclaims all liability regarding the content of websites published by third parties and accessible from the Application via hyperlinks.
Each User declares that they accept the characteristics and limitations of the internet, and in particular acknowledges:
- That they are solely responsible for the data, information, and content that they publish and distribute on the Application.
- That they are solely responsible for the use they make of the information present on the Application. Consequently, Agence ICI cannot be held liable for any direct or indirect damage arising from the use of such information by Users.
- That disclosure of their identification elements and, more generally, any information deemed by them or known by them to be sensitive or confidential, is prohibited.
- That they are aware of the nature of the internet and, in particular, its technical performance and response times for consulting, querying, or transferring information. Agence ICI cannot be held liable for malfunctions of the internet network.
- That it is their responsibility to take all appropriate measures to protect their own data and software from contamination by possible viruses circulating through the Application. Agence ICI cannot be held liable for any damage that may be suffered.
Interpretation and Disputes
Agence ICI reserves the right to amend these ToU at any time. Amendments to the ToU apply from the day they are published on the Application.
Users are therefore invited to consult these ToU regularly.
These ToU are governed by French law.
Cookie Management Policy
What is a "cookie"?
A cookie is a small file stored by a server on a user's device (computer, phone, etc.) and associated with a web domain (i.e. in most cases, all pages of the same website). This file is automatically sent back during subsequent visits to the same domain.
There are several types of cookies:
- "Necessary" cookies: store information between two visits to the same website on the same device. They can store a shopping cart, login credentials, or interface personalization settings.

Which cookies do we use?
When you browse the application "Otilus" (the "Application"), cookies are stored on your device.
When you log into the Application, a banner allows you to accept or refuse cookies, and to customize your cookie consent depending on whether they are marketing, functional, or analytical. In all cases, so-called "essential" cookies cannot be disabled because they enable core features such as security, identity verification, and network management.
In order to ensure the website operates and to improve the user experience, Agence ICI stores and/or accesses information on your device (cookies and other trackers) while you browse the Application.
These cookies and other trackers allow Agence ICI to measure the audience and performance of the Application, produce usage statistics, and personalize your user experience. Except for social media sharing buttons, the stored information is not transmitted to any third party. Your choice to accept or refuse cookies will not affect your browsing of the Application.
You may choose to accept or refuse all cookies (except functional cookies that are necessary for the website to operate). The "Customize your choices" button also allows you to individually set which purposes of processing for cookies and trackers you wish to accept or refuse. Your choice will be stored for 15 days, after which this message will be displayed again.
